GENERAL TERMS OF SALE- SHIPPING AND RETURNS
These Terms apply exclusively to transactions with businesses and professionals acting in the course of their business or professional activities.
1. The goods are transported for the account and at the risk of the Buyer and shall remain our property until payment has been made in full.
2. Each order must be paid in full and in advance, prior to the commencement of production and/or shipment of the products.
3. All transportation and shipping costs for delivery of the goods to the location designated by the Customer shall be borne by the Customer, unless otherwise agreed in writing.
4. In the event of damage to or destruction of products during transportation, the Company and the Customer shall cooperate in providing the information and supporting documentation required for the substantiation and assessment of the relevant claim.
As our Company is the manufacturer and the finished products are produced through the combination of multiple raw materials in specific proportions and through separate stages of production and packaging, there is no single purchase invoice on our part corresponding to the finished product.
By contrast, the Buyer holds the relevant purchase invoice for the finished product, which directly and clearly states its value.
For this reason, the value of the loss or damage shall be substantiated by the purchase invoice for the finished product held by the Customer, while our Company shall provide any additional information or documentation that may be required in support of the relevant claim.
5. All transactions shall be governed by Greek law. Any dispute arising from our commercial relationship shall be subject to the jurisdiction of the Courts of Arta, Greece, without prejudice to any mandatory exclusive jurisdiction that cannot lawfully be altered by agreement.
6. Returns of products that have been correctly delivered and are in accordance with the order shall be accepted only with the Company’s prior written approval and within fifteen (15) days from the date of receipt.
7. Products manufactured or packaged specifically to the Customer’s order, products with a custom formulation, custom labelling or custom quantity may neither be cancelled nor returned once production has commenced, unless they demonstrate proven non-conformity with the agreed specifications.
8. Any apparent discrepancy concerning the quantity, product code or type of products delivered must be reported to the Company in writing within three (3) days from receipt, with reference to the relevant invoice or order number.
In the event of a proven error attributable to the Company, correction or replacement shall be carried out at no additional cost to the Customer.
9. The Company shall not be liable for delays resulting from events beyond its reasonable control, including, but not limited to, strikes, extreme weather conditions, road closures, transportation disruptions, network failures, acts of public authorities or events of force majeure.
The Company shall make every reasonable effort to inform the Customer in a timely manner.
10. Where the Customer designates a specific courier or freight company, the shipment shall be made through the company designated by the Customer, and collection of the shipment shall take place from our Company’s premises.
Given that our premises are located in an area with limited accessibility and that service by certain courier companies may be limited or not available on a daily basis, any transportation of the shipment by our Company to a branch, depot or collection point of the selected courier outside our premises shall constitute an additional and optional service provided to the Customer.
Such service shall neither create an ongoing obligation on the part of the Company nor give rise to any right or expectation of equivalent service for future shipments.
11. The Customer shall use, store and handle the products in accordance with the instructions for use, technical specifications, prescribed storage conditions and applicable product labelling.
The Company shall not be liable for any damage, deterioration or alteration resulting from improper storage, use outside the specified conditions, processing, modification or handling by the Customer or any third party after delivery.
